About Community Counselling London (CCL):
CCL is a non-profit organization that provides mental health and counselling services to individuals ages 12 and up in the London, Ontario community. Our mission is to enhance the mental well-being of individuals by providing accessible, high-quality counselling services. Our mission is also to train graduate-level therapist interns under supervision through internships.
Position Summary:
TheBoard Secretaryplays a crucial role in the governance and record-keeping of CCL. This position is responsible for overseeing the preparation and distribution of meeting minutes, maintaining official records, and ensuring the Board of Directors operates in compliance with all relevant regulations and bylaws. The Secretary provides essential administrative and legal guidance to the Board.
Key Responsibilities:
Governance & Record Keeping:
- Maintain accurate and organized records of all Board of Directors and committee meetings, including attendance, resolutions, and key decisions.
- Ensure the timely and accurate preparation and distribution of Board meeting minutes to all members.
- Preserve all corporate records, including bylaws, articles of incorporation, and official documents, in a secure and accessible manner.
Administrative Support:
- Oversee the scheduling and coordination of Board meetings and events, working closely with the Board Chair and Executive Director.
- Manage communication with Board members and stakeholders, as directed by the Board Chair.
- Ensure that all Board-related correspondence is handled efficiently and confidentially.
Legal & Regulatory Compliance:
- Ensure the Board's activities and records are in compliance with all legal and regulatory requirements for non-profit organizations in Ontario.
- Serve as the primary point of contact for legal and corporate inquiries related to the Board’s governance.
- Act as the custodian of the organization’s seal and corporate records.
Board Support:
- Provide administrative expertise and guidance to the Board of Directors on all procedural matters.
- Assist the Board in fulfilling its fiduciary and legal responsibilities.
- Build and maintain strong relationships with other members of the Board.
Other Duties as Required:
- Participate in Board meetings and committees as required.
- Assist with other duties as assigned by the Board Chair.
Qualifications:
- Proven experience in a secretarial, administrative, or governance-related role, preferably within a non-profit organization.
- Excellent organizational and time management skills with a high degree of attention to detail.
- Strong understanding of corporate governance principles and legal requirements for non-profit organizations.
- Exceptional written and verbal communication skills.
- Proficiency in using a variety of software, including word processing, email, and virtual meeting platforms.
- Ability to work independently and as part of a team.
- Commitment to the mission and values of Community Counselling London.
- Experience with minute-taking is an asset.
